1. Offer Period

The offer begins and ends on the dates stated in the applicable Ruli landing page, email, or promotional communication. If no end date is stated, Ruli can end the offer prospectively by updating the applicable promotional materials. Ending or changing the offer will not affect a Reward already earned by an eligible participant, except in cases of fraud, abuse, ineligibility, legal or compliance concerns, or violation of these terms.

2. Who Is Eligible

To participate, you must be at least 18 years old and a legal resident of the fifty United States or District of Columbia; work for a private-sector organization genuinely evaluating Ruli; be directly involved in evaluating, recommending, purchasing, or implementing Ruli; use a valid business email address; complete the Qualifying Demo described below; and be legally and contractually permitted to accept the Reward, including under your employer’s gift, procurement, and conflict-of-interest policies.

Your organization must be a net-new Ruli prospect. Current Ruli customers, existing active sales opportunities, participants in another Ruli incentive program, and organizations that previously received the same or a similar promotional gift are not eligible unless Ruli approves participation in writing.

The following are also excluded: government and public-sector personnel, including representatives of government-owned or controlled entities; Ruli employees and contractors; Ruli competitors and anyone participating for competitive research or another non-evaluation purpose; and anyone who provides inaccurate information or attempts to misuse the offer. An invitation to participate or the ability to book a demo does not establish eligibility.

3. What Qualifies

To earn the Reward, an eligible participant must: (1) book a demo through an authorized Ruli promotional page, email, or invitation; (2) attend and complete the scheduled live demo with a Ruli representative during the Offer Period; (3) participate meaningfully and in good faith on behalf of an eligible organization; and (4) provide accurate information reasonably requested to verify eligibility and deliver the Reward.

Merely booking a demo, missing it, joining only briefly, or scheduling without a genuine business interest in evaluating Ruli does not qualify. No purchase, subscription, endorsement, referral, testimonial, review, or future business is required. This is a promotional gift for completing a verified business demo, not a prize awarded by chance.

4. The Reward

Each verified eligible participant who completes a Qualifying Demo will receive one digital $250 USD WHOOP gift card, with a face value and approximate retail value of $250 (the “Reward”).

The Reward will be delivered electronically to the participant’s verified email address or, with Ruli’s approval, to another eligible employee of the same organization; is subject to WHOOP’s applicable gift-card and redemption terms; can be used in regions accepting the same currency toward eligible WHOOP memberships, upgrades, Advanced Labs, and products available through the WHOOP online shop; cannot be applied to Ruli products or services; and cannot be replaced with cash or another reward except where required by law or expressly approved by Ruli.

The Reward is a $250 gift card, not a free WHOOP device. It does not guarantee that $250 will cover the full cost of a WHOOP device, membership, taxes, shipping, subscription, or other charge. Receiving the Reward does not automatically enroll the participant in a WHOOP membership or authorize any recurring charge. WHOOP states that its gift cards do not expire and have no additional fees. These terms do not waive any gift-card or consumer right that cannot legally be waived.

California Residents: Any cash-redemption or other gift-card rights required by California law remain available. Cash-redemption requests should be submitted to WHOOP or the applicable gift-card issuer or seller.

New York Residents: WHOOP states that the Reward does not expire and has no additional fees. Nothing in these terms limits any additional gift-card rights provided under New York law.

5. Limits and Employer Approval

Limit one Reward per person and one Reward per organization, including its affiliates and related entities. Ruli can also apply the limit by household, address, or business email domain when reasonably necessary to prevent duplication or abuse.

Before participating, each participant must confirm: I am authorized to evaluate Ruli for my organization. I have disclosed this promotional gift to my employer and obtained any required approval. My participation and acceptance of the gift comply with applicable law and my employer’s gift, procurement, ethics, and conflict-of-interest policies. I agree to the Promotional Offer Terms.

By participating, you also confirm that the Reward will not improperly influence, or appear to influence, any evaluation, recommendation, purchasing, or other business decision. Ruli can request proof of employment, authority, employer approval, or other eligibility information before issuing the Reward.

6. Delivery and Forfeiture

Subject to eligibility verification and availability, Ruli will use commercially reasonable efforts to email the Reward within four weeks after the Qualifying Demo.

The Reward is forfeited if a participant does not respond to a verification or fulfillment request within the stated time; provides false, incomplete, or misleading information; cannot be verified as eligible; is not permitted to accept the Reward; or violates these terms.

The participant must notify Ruli within fourteen days after Ruli confirms delivery if the gift card email or code was not received or does not work. Ruli is not responsible for a code that is lost, deleted, shared, stolen, or redeemed without authorization after delivery to the verified email address. If the advertised Reward becomes unavailable or cannot lawfully or reasonably be provided, Ruli can substitute another gift card or promotional benefit of equal or greater value.

7. Taxes

Participants are responsible for any taxes and reporting obligations associated with receiving or using the Reward. Ruli can request tax or identification information when legally required. Failure to provide required information results in forfeiture of the Reward.

8. Privacy and California Notice at Collection

Ruli collects identifiers, such as name, business email address, telephone number, and contact information; professional or employment information, such as employer, job title, role, and authority to evaluate Ruli; commercial information, such as interest in Ruli, business use case, demo participation, and promotional eligibility; and compliance and fulfillment information, such as employer approval, geographic location, communications, and information legally required to provide the Reward.

Ruli uses this information to schedule and conduct the demo; communicate with participants; verify eligibility and employer authorization; administer and fulfill the offer; prevent fraud, duplication, and misuse; maintain business and compliance records; and meet legal, tax, and reporting obligations. Ruli can disclose relevant information to service providers, professional advisers, compliance providers, and gift-card or fulfillment providers as necessary for these purposes.

Ruli retains the information for as long as reasonably necessary to administer the offer, maintain appropriate business and compliance records, prevent repeated or fraudulent claims, resolve disputes, and comply with legal obligations. California residents can review Ruli’s Privacy Policy and California privacy disclosures, linked on the promotion page, for information about applicable retention practices, sales or sharing of personal information, and rights to access, correct, delete, or limit certain uses of personal information. Privacy requests can be submitted using the method stated in Ruli’s Privacy Policy. Participation is also subject to Ruli’s Privacy Policy. This notice must be available at or before the point where promotional information is collected.

9. Fraud and Abuse

Ruli can disqualify a participant, withhold or cancel a Reward, require return or repayment of its value, and exclude a participant or organization from future promotions if Ruli reasonably determines that the participant used multiple identities, email addresses, organizations, or bookings; misrepresented employment, authority, eligibility, or business interest; attempted to obtain multiple Rewards for the same organization; participated primarily to obtain the Reward rather than evaluate Ruli; used an automated, fictitious, or fraudulent registration; participated for competitive intelligence or another non-evaluation purpose; violated employer policies, applicable law, or these terms; or otherwise manipulated or circumvented the offer. Ruli will make eligibility, compliance, and fulfillment determinations reasonably and in good faith.

10. WHOOP Disclaimer

WHOOP is not a sponsor, administrator, affiliate, or endorser of this offer. WHOOP and its related names and trademarks belong to their respective owners and are used only to identify the Reward.

Ruli does not manufacture, sell, or provide WHOOP products or services and is not responsible for their availability, pricing, sizing, performance, health features, memberships, subscriptions, shipping, returns, warranties, privacy practices, or customer support. Questions or claims concerning gift-card redemption or a WHOOP product or service must be directed to WHOOP or the applicable seller or service provider.

11. Liability

To the maximum extent permitted by law, Ruli is not responsible for losses resulting from incorrect or blocked email information; delivery delays outside Ruli’s reasonable control; loss, theft, deletion, sharing, or unauthorized redemption of a delivered gift card; inability to redeem or use the Reward; or the purchase, possession, use, performance, return, or support of a WHOOP product or service. Nothing in these terms limits liability or consumer rights that cannot legally be limited, including applicable non-waivable rights under California or New York law.

12. General Terms

This offer is void where prohibited; cannot be combined with another Ruli promotion, referral reward, discount, or incentive unless Ruli agrees otherwise in writing; and does not modify any existing agreement between Ruli and the participant’s organization.

Ruli can modify, suspend, or end the offer prospectively. These terms control over inconsistent advertisements, emails, landing pages, or other promotional communications unless Ruli expressly states otherwise in writing.

These terms are governed by Texas law, without regard to conflict-of-law rules, except that participants retain all non-waivable rights under the laws of their state of residence, including California and New York. Any dispute must be brought in the state or federal courts located in Travis County, Texas, unless applicable law requires otherwise.

If any provision is unenforceable, the remaining provisions remain effective. Ruli’s failure to enforce a provision is not a waiver.
